Terms of Sales

General

Sales made by Youblock identified under the number 751 982 760 of Meaux whose head office is 29/31 Rue de Lagny 77181 Le Pin are exclusively governed by these conditions of sale. The general conditions of sale defined below apply to all our sales and services; they exclude any application of the purchasing conditions of our co-contractors and only authorize personalized negotiation. Orders from our customers are firm, unless otherwise notified by us within a fortnight. No cancellation or modification of an order by the customer is binding on the company.

Rates
The rates appended to these general terms and conditions of sale are understood to be exclusive of tax, with VAT applying in particular in addition. These rates may be modified at any time and, for example, in the event of a change in tax or economic data. Price changes do not authorize the customer to cancel his order. Invoices are drawn up in accordance with the tariff in force on the day of withdrawal or dispatch of the goods.

Rules
Invoices are payable 30 days from the invoice date. Penalties are applied if the amounts due are not paid by the payment date shown on the invoice. These penalties are at the annual rate of 20%. They are due automatically, in accordance with Article L. 441-6 of the Commercial Code, without a reminder being necessary. These penalties are capitalized and produce interest, at the same rate of 20%, when they are due for at least one year. In the event of late payment, a lump sum compensation for recovery costs of €100 will be applicable. If during a previous order, the buyer has evaded one of his obligations (default or delay in payment in particular),

Delivery times and conditions Delivery
times are given for information only and without any guarantee. Delays in delivery do not entitle the buyer to cancel the sale or refuse the goods. They cannot give rise to deductions, penalties or damages. The goods travel at the risk and peril of the customer, who is responsible for checking their good condition at the time of delivery. If he finds damage or shortages, the customer must make his precise and complete reservations on the transport document and reiterate his reasoned protest in the forms and within the time limits provided for in Article L. 133-3 of the Commercial Code.

Force majeure
The occurrence of a case of force majeure has the effect of suspending the execution of our contractual obligations. Constitutes a case of force majeure any event beyond our control and hindering the normal operation of the manufacture or shipment of the products. In particular, cases of force majeure constitute total or partial strikes hindering the smooth running of our company or that of one of our suppliers, subcontractors or carriers, as well as the interruption of transport, the supply of energy, raw materials or spare parts.

Retention of title clause
We reserve ownership of the goods sold until full payment of the invoice in full and interest. If payment is not made on the agreed due date, we may take back the goods and the sale will be automatically terminated; the installments already paid will remain acquired as compensation. In addition, the buyer is responsible for the goods sold as soon as they are physically handed over, the transfer of possession entailing that of the risks.

Guarantee of the goods
It is up to the customer to check the goods on delivery, this check must in particular relate to the references, the quantities and the quality of the goods as well as their conformity with the order. No complaint will be taken into account after a period of 8 days from the date of delivery. Goods with an undisputed non-conformity defect reported within this period are subject to replacement or repair, excluding any compensation for any reason whatsoever. Similarly, if it appears that the goods have a defect, the warranty is strictly limited to repair or replacement, excluding any compensation.

Law and jurisdiction
All sales and services provided by our company are subject to French law and the exclusive jurisdiction of the Commercial Court of PARIS.
